www.AnderKobes.com (herein after referred to “website”) and Portal Terms and Conditions:

Definitions:

Client, You, refers to YOU.

AK CPA, the firm, refers to AnderKobes CPA, Inc.

1. Purpose: AK CPA provides a website and Portal to permit easy information and secure electronic transfer of documents between Client and AK CPA, and short-term Client access to a Portal for documents and work products created by AK CPA. The Portal web-based applications and application software are exclusively provided to AK CPA’s clients and intended for their sole use. As the website and Portal are not intended for long-term storage of client information, AK CPA does not accept responsibility for hosting client information.  Access to the information and documents on the website and Portal will be limited to the periods of time from 60 days to a year.

 

2. Use: By using any features of the AK CPA’s website or Portal, Client consents to the following terms and conditions and acknowledges that AK CPA is relying on your consent in allowing you to use AK CPA’s website and Portal. Your continued use of the website and Portal after the posting of any amended terms and conditions shall constitute your agreement to be bound by any such changes. AK CPA may modify, suspend, discontinue, or restrict the use of any portion of the website and Portal, including the availability of any portion of the content at any time, without notice or liability.

 

3. Service Availability: AK CPA will use its best reasonable efforts to provide availability of the website and Portal Service.  AK CPA shall not be responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, termination of service, change of service provider or unauthorized access to the website and/or Portal. AK CPA is not responsible for any problems or technical malfunctions of any telephone or fiber network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email to be received by AK CPA on account of technical problems or traffic congestion on the Internet or any website, or any combination thereof, including any injury or damage to Client’s computer or peripherals related to downloading any materials from the website or Portal.

 

4. Security:  Documents are encrypted before being passed over the Internet and while being stored on the Portal and a username and password are required to access files. In addition, documents added to the Portal are scanned for viruses before being uploaded. All files are maintained behind firewalls to protect against outside intruders. AK CPA will use its best efforts to make the Portal secure from unauthorized access. However, Client recognizes that no completely secure system for electronic data transfer has yet been devised. 

 

The AK CPA website (outside of the Portal) should not be utilized for the upload of sensitive data and any attempt by the Client to do so should be avoided.  Do not upload sensitive data of any kind to the AK CPA website – only upload sensitive data to the Portal once you have logged in securely to the Portal software using your individual login and password information and are positive you are on a secure transfer website to the Portal.

 

In order to maintain security, Client agrees to designate a single individual as the authorized person to both verbally and electronically contact AK CPA to request logon changes, employee logons, help, changes or terminations (any requests must be made both verbally (in person or on the telephone) as well as by the designee’s official recognized email address as listed on the Client Intake form. The designee for account changes is listed on the New Client Intake form. All logon passwords, and/or changes will be transmitted to the new user by email, and passwords will then be set up at that time from that email.

 

5. Logon Accounts and Their Security:

a.      If applicable, AK CPA will set up individual logon accounts for those of Client’s employees who need access to the Portal upon written request to AK CPA.  Please note that the Client’s employees will have access to the Client’s full Portal documentation and will be able to view those documents upon receiving their Portal login information.  AK CPA strongly recommends that Client establish a policy that logon information not be shared with others. 

 

In order to maintain security, Client agrees to designate a single individual as the authorized person to both verbally and electronically contact AK CPA to request logon changes, employee logons, additions/deletions, help, changes or terminations (any requests must be made both verbally (in person or on the telephone), and by the designee’s official recognized email address). The designee for account changes will be listed on the New Client Intake form. b.     You acknowledge and agree that the use of username and password is an adequate form of security. You are solely responsible for (1) authorizing, monitoring, controlling access to, and maintaining the strict confidentiality of your username and password; (2) not allowing another person to use your username or password; (3) any charges or damages that may be incurred as a result of your neglect to maintain the strict confidentiality of your username and password; and (4) promptly informing AK CPA in writing of any need to deactivate a username due to security concerns or otherwise. AK CPA is not liable for any harm related to the misuse or theft of usernames or passwords, disclosure of usernames or passwords, or your authorization to allow another person or entity to access and use AK CPA’s Portal using your username or password. You shall immediately notify AK CPA in writing of any unauthorized use of your username or password and any breach of confidentiality. Until AK CPA receives this notification from you, you will be held liable for any harm ensuing from the use of your username on AK CPA’s Portal.

AK CPA strongly encourages you to set up Multi-Factor Authentication (MFA) on the Portal upon first logon to help protect your data.  

 

6. Termination of Logon Account for the Portal: Client agrees to designate a single individual as the authorized person to both verbally and electronically contact AK CPA to request terminations (any requests must be made both verbally (in person or on the telephone), and by the designee’s official recognized email address). The designee for account changes/terminations will be listed on the New Client Intake form.  AK CPA will make every effort to confirm and terminate access within five business days of receipt. However, Client cannot be assured that access has been terminated until you receive a confirmation of termination from AK CPA, which can be obtained by you contacting our offices.

 

7. Links to Third-Party Sites: The AK CPA website and Portal website may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of AK CPA and AK CPA is not responsible for the contents of any Linked Site, including, without limitation, any link contained in a Linked Site, or any changes or updates to Linked Site. AK CPA is not responsible for webcasting or any other form of transmission received from any Linked Site. AK CPA is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by AK CPA of the site or any association with its operators.

 

8. No Unlawful or Prohibited Use: As a condition of your use of the website and Portal, you warrant to AK CPA that you or your approved users will not use AK CPAs website nor Portal for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use AK CPA’s website nor Portal in any manner that could damage, disable, overburden, or impair AK CPA’s website or interfere with any other party’s use of the website, Portal or any other service provided by AK CPA, its vendors or partners or any other party. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the website or Portal.

 

9. Information Disclosure:  AK CPA reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, or to remove any information or materials, in whole or in part, in AK CPA’s sole discretion.

 

10. Client’s Responsibility:   You must at your own cost (a) provide for your own access to the Internet and pay any services fees, connection charges, and online services usage associated with such access (b) provide all equipment necessary for you to make such connection to the website and/or Portal, including a computer and modem, (c) maintain your original data and records, (d) retrieve and retain all tax returns, financial statements, documents and other work product within 60 days and no more than a year as AK CPA has no responsibility to retain Client-provided data, records, or information, and Client’s access to data, records, information and work product placed on the website and Portal is expected to be terminated after a year. By your acceptance of this engagement, you understand that you have sole responsibility for retaining and maintaining all your information, documents and work products. This responsibility includes downloading, retaining and maintaining any information and work products that AK CPA has delivered to your Portal, as well as all information you have placed on the portal, within the time parameters noted in Clause 1 of the terms and conditions of the website and Portal usage.

 

11. Dispute Resolution:  For Non-Clients of AK CPA:  Any dispute arising from the interpretation and performance of this Agreement shall be settled by the parties hereto through friendly consultation. If such disputes cannot be settled within thirty (30)days after either party hereto sends a written notice to the other party hereto requesting a negotiated settlement, either party hereto may submit the dispute to the American Arbitration Association under its Commercial Mediation Rules or such other neutral facilitator acceptable to both parties.  The place of arbitration shall be administered within Douglas County, CO. The arbitration award shall be final and binding on the parties hereto.   For Clients of AK CPA:  Any dispute shall follow the Dispute Resolution found in your Letter of Engagement with AK CPA.  Any award, monetary or otherwise is subject to the Limitation of Liability you agreed to in the Letter of Engagement, and should be construed as in full force and effect when utilizing the website or Portal.

 

12. WARRANTIES: AK CPA MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING THE EFFICACY OF THE SECURITY OF THE WEBSITE AND/OR PORTAL. THE CONTENT AND SERVICES ARE PROVIDED ON AN “AS IS” BASIS AND AK CPA SPECIFICALLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF MERCHANTABILITY, OR WARRANTIES AGAINST INFRINGEMENT. AK CPA, ITS AFFILIATES, OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DAMAGES OR LOSSES, INCLUDING, WITHOUT LIMITATION, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES, RESULTING FROM OR CAUSED BY THE WEBSITE AND/OR PORTAL, ITS CONTENT, OR SECURITY SERVICES PROVIDED HEREIN. AK CPA DOES NOT WARRANT THAT THE WEBSITE AND/OR PORTAL’S FUNCTIONS WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT AK CPA’S WEBSITE AND/OR PORTAL OR THE SERVERS THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

 

IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE WEBSITE, PORTAL, INFORMATION, DOCUMENTS, LINKS OR COMMUNICATIONS ON THE WEBSITE AND/OR PORTAL, OR WITH ANY OF THESE TERMS AND CONDITIONS OF USE, YOU AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY IS TO CEASE USING THE WEBSITE AND/OR PORTAL AND THE INFORMATION, DOCUMENTS, OR COMMUNICATIONS YOU OBTAINED FROM THE WEBSITE AND/OR PORTAL.
